End User License Agreement & Terms of Use

This End User License Agreement and Terms of Use (“Agreement”) is a legal agreement between you and Pot O Luck LLC (“we”, “us”, “our”) governing your use of the ShowQuote application and related services (the “Service”). By downloading, installing, or using the Service, you agree to this Agreement. If you do not agree, do not use the Service.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Service on devices you own or control, solely for your internal business purposes and in accordance with this Agreement and the usage rules of the app store from which you obtained the Application.

2. Restrictions

You may not, and may not permit anyone else to:

• copy, modify, or create derivative works of the Service except as allowed by law;
• reverse engineer, decompile, or disassemble the Service, or attempt to derive its source code;
• rent, lease, lend, sell, sublicense, or otherwise commercially exploit the Service;
• remove or alter any proprietary notices;
• use the Service to build a competing product, or to scrape or bulk-export data other than your own;
• use the Service in violation of any applicable law or third-party right.

3. Accounts and Eligibility

You must be at least 18 years old and able to form a binding contract. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Provide accurate information and keep it current.

4. Subscriptions and Billing

• Free tier: ShowQuote is available at no charge with advertising and watermarked PDF exports.
• ShowQuote Premium: an auto-renewing subscription that removes ads and watermarks and unlocks cloud sync, Google Drive backup, clean PDF and Excel exports, and ERP / webhook integrations.
• Billing term and price: ShowQuote Premium is billed on a monthly basis at the price shown in the Application and on your app store product page at the time of purchase. Payment is charged to your Apple App Store or Google Play account at confirmation of purchase.
• Automatic renewal: the subscription renews automatically for successive one-month periods at the then-current price unless you turn off auto-renew at least 24 hours before the end of the current period.
• Managing and cancelling: you can manage or cancel your subscription at any time in your Apple App Store or Google Play account settings. Cancelling stops future renewals; it does not retroactively refund the current period.
• Price changes: we may change the subscription price. Changes apply to renewals after notice to you as required by the app store and applicable law.
• Refunds: except where required by law or by the app store’s policies, payments are non-refundable, and refund requests are handled by Apple or Google, not by us.
• Free trials or promotional offers, if any, convert to a paid subscription unless cancelled before the trial ends.

5. Your Content

You retain ownership of the products, media, notes, and other content you submit (“Your Content”). You grant us a worldwide, non-exclusive license to host, store, reproduce, and process Your Content solely to operate and provide the Service to you, including syncing it across your devices and generating exports. You represent that you have all rights necessary to submit Your Content and that it does not infringe any third-party rights or violate any law.

6. Acceptable Use

You agree not to use the Service to store or transmit unlawful, infringing, defamatory, or malicious content, to harass others, to interfere with the Service’s operation, or to attempt unauthorized access to any system or data.

7. Estimates — No Professional Advice

ShowQuote produces landed-cost, duty, freight, and pricing figures that are estimates generated from the inputs and rates you provide. They are for planning purposes only, are not guaranteed to be accurate, and are not customs, tax, legal, or financial advice. You are solely responsible for verifying any figure before relying on it in a quote, order, or filing.

8. Third-Party Services

The Service relies on third-party services including Apple, Google (Firebase, AdMob, Sign-In, Drive, Play Billing), and our hosting provider. Your use of those services is subject to their terms, and we are not responsible for their acts or omissions.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA WILL NOT BE LOST.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) USD $50.

11. Indemnification

You will indemnify and hold us harmless from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising from Your Content, your use of the Service, or your breach of this Agreement.

12. Termination

You may stop using the Service at any time and delete your account in the Application. We may suspend or terminate your access if you breach this Agreement or if we discontinue the Service. Sections that by their nature should survive termination will survive.

13. Governing Law

This Agreement is governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes is the state or federal courts located in Seminole County, Florida, and you consent to their jurisdiction, except that either party may seek injunctive relief in any court of competent jurisdiction.

14. Changes to This Agreement

We may update this Agreement. Material changes will be indicated by updating the “Last updated” date and, where appropriate, by notice in the Application. Your continued use after changes take effect constitutes acceptance.

15. Apple App Store — Additional Terms

If you obtained the Application from the Apple App Store, the following also applies:

• This Agreement is between you and us only, not with Apple. Apple is not responsible for the Application or its content.
• Apple has no obligation to provide maintenance or support for the Application.
• If the Application fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any); to the maximum extent permitted by law, Apple has no other warranty obligation.
• Apple is not responsible for addressing any claims by you or a third party relating to the Application, including product-liability, regulatory, or intellectual-property claims.
• You represent that you are not located in a U.S.-embargoed country or on a U.S. prohibited-parties list.
• Apple and its subsidiaries are third-party beneficiaries of this Agreement and may enforce it against you.

16. Google Play

If you obtained the Application from Google Play, your use is also subject to the Google Play Terms of Service, and subscription payments and refunds are handled by Google.
